Mohamed spent his first six years of practice working with Egypt’s oldest and most esteemed law firm “Hashem, Ibrahim and Tawfik”. He then went on to join the larger and more international firm of Baker and McKenzie, where he was associate for four years in the Cairo Office and three years in the Riyadh Office.

Mohamed is the founding partner of NOUR LAW OFFICE. He is bilingual in Arabic and English and specialises in drafting and negotiating all types of commercial contracts including joint venture, licensing and agency agreements. He is also a litigation specialist.

Mohamed is a member of the Egyptian Bar Association, admitted to plead before Egyptian Courts of Cassation. He is also a member of the British Egyptian Business Association and the German Arab Chamber of Commerce.

Banking and Capital Markets

Advised Delta Stock Brokers and prepared acquisition and cooperation contracts in connection with the acquisition by the Egyptian American Bank of a majority stake in Delta Stock Brokers.

Advised Barclays plc in respect of its majority interest in Cairo Barclays.

Advising a leading local bank, on the establishment in an Egyptian free zone of a local factoring business in conjunction with an international factoring company and the IFC.

Included in the team of lawyers acting as local counsel to Exim-Bank and the commercial lenders in relation to a proposed financing of 1,850 mtpd anhydrous ammonia plant to be constructed in a free zone in Egypt. Capital value is approximately US$ 300 million.

Advising the lenders, including APICORP, in respect of a US$ 80 million secured lending to finance the equity contributions by EGPC and EGAS to Egypt LNG.

Regularly advising Egyptian registered and foreign banks, in relation to syndicated and bilateral loan agreements involving an Egyptian borrower.

Included in the team of lawyers that advised HSBC as global managers in respect of the global offering of 8,273,443 ordinary shares of par value LE 5 per ordinary share of Lecico, an Egyptian bathroom ware and tile manufacturer, in the form of shares and Global Depository Receipts.

Dispute Resolution 

Mohamed has wide experience of civil and commercial litigation and arbitration and is admitted to plead before the Court of Cassation, being the highest court in Egypt.

Advising a foreign bank on a US$ 25 million claim against the Central Bank of Egypt.

Advising a major advertising company in relation to a claim for breach of contract subject to arbitration before CRCICA under the UNCITRAL Rules.

Advising and representing Iberotel, in relation to a management contract subject to arbitration before the CRCICA under the UNCITRAL Rules.

Advising and representing Look Advertising Company, in relation to unsettled dues before the CRCICA under the UNCITRAL Rules.

Advising and representing Intermedica, in relation to the termination of an agency contract subject to arbitration before the ICC under ICC Rules.

Infrastructure and Project Finance

Advising Arab International Contracting and preparing contracts in relation to the construction of a power plant based on the BOT system.

Advising Rohrbach in relation to the construction of cement factory on the basis of a project finance.

Oil, Gas and Petrochemicals

Experienced in the energy sector including establishing branch offices of oil service support companies, advising on concessions and dealings with the Egyptian Government.

Acting for EATCO, the developer of a major gas converted to polymers project including advising on the shareholders’ agreement;

Acting for a bidder for the purchase of Edison’s stake in EGYPT LNG, including revision of project agreements.

Telecommunications

Advising Motorola International in relation to the acquisition of the first mobile network in Egypt, the Egyptian Company for Mobile Services.

Advising General Dynamics in relation to the preparations of the Egyptian Telecommunication Law.
